    TERMS OF USE

    1. Agreement. This Terms of Use agreement (the "Agreement") governs your access to and use of the Site. This Agreement may be modified at any time by Triad Financial Services, Inc. (“Triad”, “we”, “our”, or “us”) by posting the modified Agreement to the Site. Any such modifications shall be effective immediately upon posting unless some other effective date is expressly stated. Your use of this Site shall constitute and be deemed your unconditional acceptance of this Agreement.
    2. Privacy. Your use of the Site is also governed by our Privacy Policy, which is hereby incorporated into this Agreement. Please review our Privacy Policy at [website address]. Triad. reserves the right, and you authorize us, to use and assign all information provided by or collected from you in any manner consistent with our Privacy Policy.
    3. Site Content. The Site is provided on an "as is" basis and may use internet services that are not under our direct control. While we strive to provide accurate descriptions of our products and services, we do not warrant that the descriptions, pricing, or other content on the Site are accurate, complete, or current. We reserve the right to correct errors and to cancel any orders that were placed using incorrect descriptions or pricing. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of this Site.
    5. Site Use. Triad grants you a limited, revocable, nonexclusive license to use this Site solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use. You agree not to copy content from the Site, reverse engineer or hack into the Site, or use materials, products or services in violation of any law. Your use of this Site is at the discretion of Triad who may terminate your access and use at any time.
    6. Links to Other Sites. The Site may provide links to other websites. This Site's Terms of Use or Privacy Policy may not apply to those other websites, which may have their own terms and policies. You should review the terms of use and privacy policies of any other websites that you visit.
    7. Compliance with Laws.You agree to comply with all applicable laws regarding your use of the Site. You further agree that information provided by you is truthful and accurate to the best of your knowledge.
    8. Indemnification.     10. Limitation of Liability. THE LIABILITY OF TRIAD AND ITS AFFILIATES, EMPLOYEES, AGENTS, REPRESENTATIVES AND THIRD-PARTY SERVICE PROVIDERS WITH RESPECT TO ANY AND ALL CLAIMS ARISING OUT OF YOUR USE OF THE Site, THE MATERIALS, THE CONTENT OR SERVICES OBTAINED THROUGH THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, SHALL NOT EXCEED, IN THE AGGREGATE, THE GREATER OF ONE-HUNDRED DOLLARS ($100). IN NO EVENT WILL TRIAD BE LIABLE TO YOU OR ANY PARTY FOR ANY DIRECT, INDIRECT, SPECIAL OR OTHER CONSEQUENTIAL DAMAGES FOR ANY USE OF THE SITE, OR ON ANY OTHER HYPERLINKED WEBSITE, INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA OR OTHERWISE, EVEN IF TRIAD IS EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    11. Copyright Complaints. If you believe your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have otherwise been violated, please provide a notice containing all of the following information to our Copyright Agent:
    12. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
    13.   A description of the copyrighted work that you claim has been infringed;
    14. A description of where the material that you claim is infringing is located on the Site;
    15. Your address, telephone number, and e-mail address;
    16. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
    17. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

    1. Mandatory Arbitration, Class Action and Jury Waiver. You hereby agree that either you or we may require any dispute, claim, or cause of action ("Claim") between you and us or any third parties arising out of use of the Site, the Services, and any other actions with us (whether based in contract, tort, statute, fraud misrepresentation, or any other legal theory) to be arbitrated on an individual (non-class) basis. However, both parties retain the right to seek relief in a small claims court (or a state court equivalent) for a Claim within the scope of its jurisdiction. Additionally, both parties retain the right to obtain public injunctive relief from any court with proper jurisdiction.

    You specifically agree, to the extend allowed by law, to irrevocably waive any right you may have to a trial by jury or other court trial (other than small claims court) or to serve as a class representative, as a private attorney general, or in any other representative capacity, or to participate as a member of a class of claimants, in any lawsuit, class arbitration, consolidation of individual arbitrations, or other proceeding filed against us and/or related third parties.

    If you or we elect to arbitrate a Claim, the dispute shall be resolved by binding arbitration administered under the rules of the American Arbitration Association ("AAA"). The AAA rules and other information about arbitrating a claim under AAA may be obtained by visiting its website athttps://www.adr.org/. if AAA will not serve as the administrator of the arbitration, and you and we cannot then agree upon a substitute arbitrator, you and we shall request that a court with proper jurisdiction appoint an arbitrator. However, we will abide by the AAA rules regardless of the forum. Arbitration shall be conducted in the county and state where you accepted these Terms, you reside, or another reasonably convenient place to you as determined by the arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

    If you elect to file the arbitration, you will pay the filing fee to the extent required by the AAA's Consumer Arbitration Rules but we will consider any request by you to reimburse you for such fees. All other arbitration fees and expenses shall be allocated according to AAA rules. Except for the arbitration fees and expenses, each party shall pay its own costs and fees incurred (including attorneys' fees), unless the arbitrator allocates them differently in accordance with applicable law.

    If any part of this arbitration provision is invalid, all other parts of it remain valid. However, if the class action limitation is invalid, then this arbitration provision is invalid in its entirety, provided that the remaining Terms shall remain in full force and effect. This arbitration provision will survive the termination of your use of the Site, the Services, and any other actions with us.

    You may reject this arbitration provision within five days of accepting the Terms by emailing us at legal@triadfs.com and including in the subject line "Rejection of Arbitration Provision."

    1. Applicable Law. You agree that the laws of the state of Florida without regard to conflicts of laws provisions will govern this Agreement and any dispute that may arise between you and Triad or its affiliates. Venue shall be the state and federal courts located in Duval County, Florida.
    2. Severability.  If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
    3. Relationship of the Parties. Each party is, and shall remain, an independent contractor and nothing contained in this Agreement shall be construed to make either party a partner, joint venturer, employee or agent of the other party, and neither party shall hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party.
    4. Site Availability. WE CANNOT GUARANTEE THE SITE WILL BE AVAILABLE 100% OF THE TIME BECAUSE PUBLIC NETWORKS, SUCH AS THE INTERNET, OCCASIONALLY EXPERIENCE DISRUPTIONS. ALTHOUGH WE STRIVE TO PROVIDE THE MOST RELIABLE WEBSITE REASONABLY POSSIBLE, INTERRUPTIONS AND DELAYS IN ACCESSING THE SITE ARE UNAVOIDABLE AND WE DISCLAIM ANY LIABILITY FOR DAMAGES RESULTING FROM SUCH PROBLEMS.
    5. Headings. Condition and section headings are for convenience of reference only and shall not affect the interpretation of the terms of the Agreement.
    6. Typographical Errors. Information on the Site may contain technical inaccuracies or typographical errors. We attempt to make the Site’s postings as accurate as possible, but we do not warrant the content of the Site is accurate, complete, reliable, current, or error-free.
